Port and Starboard Yacht Club

To all those who are called by the sea:

By-Laws as approved by the membership June 28, 2018

Article I   Organization Name

The name of the organization shall be the Port and Starboard Yacht Club

Article II   Club Purpose

The purpose of the club shall be to promote recreational boating, boating fellowship, and social interaction among boaters or people with an interest in boating in the Machias-Jonesport area of Downeast Maine. The Club will create or sponsor activities which relate to improving boating safety and seamanship among members and non–members.

Article III   Membership Requirements

To be a member a person must have an interest in boating, and spend at least part of the year in the Machias-Jonesport area. Members must pay dues in a timely fashion, and must comply with club rules.  Membership is open to anyone who meets the requirements. An individual may forfeit membership for failure to follow the clubs rules. A decision of this nature may be made by the club’s officers.  Membership will run from July 1 to June 30.

Membership dues are $25 per year. The dues may be amended by the membership at the annual meeting.

The Commodore may appoint honorary members to create liaisons or to recognize members of the boating community.

Article IV   Officers

The club’s officers are the Commodore, Vice-Commodore, Secretary, and Treasurer. The officers of the club shall be elected by the membership at the annual meeting.  Terms of all officers shall be two years.  No officer shall serve more than two consecutive terms in the same office.

Commodore:  Shall preside over all meetings. Shall act as the coordinator of club activities, and shall be responsible to direct the efforts of the club in the pursuit of the club’s purpose.

Specific duties:

  1. Set date, time, and location of the annual meeting.
  2. Conduct annual meeting and any other club meeting in accordance with Robert’s Rules of Order.
  3. Serve as the Club’s liaison or representative to other boating clubs or individuals or officials who share a common purpose with the Club or who might aid the Club in fulfilling its purposes.
  4. Provide oversight and guidance to other Club officers and for Club activities.

Vice Commodore: Shall preside over Club meetings and Club activities in the absence of the Commodore, and shall perform those duties which assist the Commodore in fulfilling his/her duties.

Secretary: Shall maintain the minutes of Club meetings, and maintain a roster of Club membership.  The secretary shall initiate communications with Club members informing them of activities or other matters as directed by the Commodore. The secretary shall be responsible to prepare and submit official Club documents or reports as needed, and to create and maintain the Club’s web site with assistance from other Club members

Treasurer: Shall receive and record the receipt of members’ dues, shall be responsible for maintaining the Club’s accounting records, and shall make disbursements for expenses approved by the membership.  The treasurer will prepare an annual report of the Club’s financial activities, and shall present the report at the annual meeting

The Commodore shall appoint other members as needed to be responsible for specific Club activities

Article V   Committees

The Club may create committees from its membership to serve specific purposes.  Committee members shall be selected from volunteers or from the Club’s officers. Such committees may address issues affecting the Club such as membership, finances, leadership nominations or Club activities.

Article VI   Finances

The Club’s fiscal year shall be January 1 to December 31. The Treasurer shall submit an annual report of receipts and expenditures, and assets and liabilities to the membership for approval at the annual meeting. The Treasurer shall prepare a budget for the coming year for consideration and approval by the membership. The Treasurer shall make disbursements approved in the budget. The Commodore may authorize the expenditure for unforeseen costs of up to $50, up to an annual cumulative amount of $100. Any expenditure beyond these limits shall be approved by the membership via an electronic ballot. Annual membership dues shall be due at the annual meeting.

Article VII   Annual Meeting

The official business of the Club shall be handled at the Annual Meeting. The Annual Meeting will take place in June at a location and time designated by the Commodore. At least two weeks advance notice will be given the membership. Such notice shall include an agenda and other pertinent information.

Except as otherwise stated, a quorum shall be a majority of those members present at the Annual Meeting.

Article VIII   Club Pennant

The Club pennant shall only be displayed on boats owned or chartered by Club members, or at their personal homes.

Article IX   Amendments

The By-Laws may be amended by a vote of 60% of Club members.

Article X   Dissolution

Upon dissolution of the Club the officers shall recommend to the membership for its approval, that the assets of the Club shall be distributed to a non-profit organization which serves the boating community of Downeast Maine.
